Wedding Seating Chart services are provided by, and you are contracting with:

organized under the laws of the State of Texas, USA, and operating under the laws of the USA
Terms of Service
By using the Wedding Seating Chart (“Service”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”). We reserve the right to update and change these Terms of Service without notice but will endeavor to let you know in the unlikely event the Terms of Service do change. Wedding Seating Chart is doing business as Kaiva, a registered LLC in the State of Texas. Violation of any of the terms below may result in the termination of your account.
Privacy Policy
Wedding Seating Chart respects the privacy of its users. Please refer to the Privacy Policy ( https://weddingseatingchart.net/privacy ) which explains how data is collected, used, and disclosed that pertains to your privacy.
Use Restrictions
Wedding Seating Chart grants you a limited, non-exclusive, non-transferable license to access, use, and privately display the Service and the features, information, pictures, videos, and other data contained therein only for personal, non-commercial purposes.
Your permission to use the Service is condition upon your agreement that you will not:
- use the Service in a manner that is inconsistent with applicable law;
- access, tamper, or use any non-public areas of our Service without authorization;
- interfere or attempt to interfere with the proper functioning of the Service; and
- engage in automated use of the Service, or take any action that we deem to impose or to potentially impose an unreasonable large load on the Service.
Intellectual Property
Wedding Seating Chart retains all right, title and interest in and to the Service, including, without limitation, software, images, text, graphics, illustrations, logos, service marks, copyrights, photographs, videos, music, and all related intellectual property rights unless explicitly stated otherwise. Except as otherwise provided in this agreement, you may not, and may not permit others to: (i) reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer or create derivative works of the Service; (ii) sell, license, sublicense, rent, lease, distribute, copy, publicly display, publish, adapt or edit the Service; or (iii) circumvent or disable any security or technological features of the Service.
Payments
By providing a credit card or other payment method that we accept, you represent and warrant that you are authorized to use the designated payment method and that you authorize our third-party payment processor Stripe to charge your payment method for the total amount of your subscription or other purchase (including any applicable taxes and other charges) (collectively, as applicable, an “Order”).
If the payment method cannot be verified, is invalid or is otherwise not acceptable, your Order may be suspended or cancelled. You must resolve any payment method problems before we proceed with your Order. If you want to change or update your payment method information, you can do so at any time by logging into your account. If a payment is not successfully settled and you do not edit your payment method information or cancel your subscription, you remain responsible for any uncollected amounts and, with respect to your subscription, authorize us to continue billing the payment method, as it may be updated.
You acknowledge that the amount billed may vary due to promotional offers or changes in applicable taxes or other charges, and you authorize our third party-payment processor Stripe to charge your payment method for the corresponding amount.
Subscriptions
By purchasing any of the Wedding Seating Chart subscription packages, you agree to pay a subscription fee on a designated cycle for the Service (the "Subscription Fee"). The Subscription Fee and any applicable tax and service fees will be charged to your Payment Method on a recurring basis in accordance with your designated cycle.
Billing Cycle
The Subscription Fee will be billed at the time you establish your Subscription and on a monthly basis unless you cancel your Subscription.
Pricing
All prices on are shown in U.S. dollars and applicable taxes and other charges, if any, are additional. We reserve the right to adjust prices as we may determine in our sole discretion, at any time and without notice, including without limitation, as based on geographic or other criteria as we may establish from time to time; provided, however, that if we change the amounts or other charges associated with our various subscription plans, we will provide advance notice of such changes. We will not, however, be able to notify you of changes in any applicable taxes.
Cancellation
You can cancel your Wedding Seating Chart subscription at any time by clicking your Account link. This will take you to a Stripe hosted page that allows you to cancel, upgrade, or change your credit card. Please note that you must cancel your Subscription before it renews for a subsequent term in order to avoid being charged for the next term's Subscription Fee. If you cancel your Subscription, the cancellation will become effective at the end of the then-current term.
Access
Wedding Seating Chart may discontinue, suspend, terminate or block access to this Service at any time in its sole discretion. Wedding Seating Chart has no obligation to compensate you for any discontinuation, suspension, termination or blockage of access to this Service.
Links to Other Sites
The Service may provide you with links to third party websites. Wedding Seating Chart has no control over and is not responsible for these websites or the materials, information, goods, or services available on these websites. If you elect to visit these websites, you do so at your own risk.
Dispute Jurisdiction
If you seek to file a legal claim against us, you agree to file and resolve it exclusively in federal court located in The State of Texas. You also agree that the laws of the State of Texas and, to the extent applicable, the laws of the United States of America will govern these Terms of Use, as well as any legal claim that might arise between you and us (without reference to conflict of laws principles). You agree to submit to the personal jurisdiction of, and agree that venue is proper in, the courts located in The Commonwealth of Texas, in any legal action or proceeding relating to us or these Terms of Use.
Disclaimers
Your use of the Service is at your sole risk. We provide the Service on an "as is" and "as available" basis, and we expressly disclaim all express or implied warranties of all kinds, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that our services will meet your requirements, be safe, secure, uninterrupted, timely, accurate, or error-free, or that your information will be secure.
Limitation of Liability
Wedding Seating Chart will not be liable to you or to any other party for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, regardless of whether you were advised of the possibility of such damage.
Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Wedding Seating Chart, Kaiva LLC and our respective past, present and future employees, officers, directors, contractors, consultants, equityholders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors and assigns (individually and collectively, the “Wedding Seating Chart Parties”), from and against all actual or alleged party or third party claims, damages, awards, judgments, losses, liabilities, obligations, penalties, interest, fees, expenses and costs of every kind and nature whatsoever, whether known or unknown, foreseen or unforeseen, matured or unmatured, or suspected or unsuspected, in law or equity, whether in tort, contract or otherwise (collectively, “Claims”), including, but not limited to, damages to property or personal injury, that are caused by, arise out of or are related to (a) any use or misuse of the Sites, Content or Products by you or any third party you authorize to access or use such Sites, Content or Products, (b) any User Content you create, post, share or store on or through the Sites or our pages or feeds on third party social media platforms, (c) any Feedback you provide, (d) your violation of these Terms, and (e) your violation of the rights of another.
You agree to promptly notify Wedding Seating Chart of any third party Claims, cooperate with the Wedding Seating Chart Parties in defending such Claims and pay all fees, costs and expenses associated with defending such Claims (including, but not limited to, attorneys’ fees and expenses, court costs, costs of settlement and costs of pursuing indemnification and insurance). You further agree that the Wedding Seating Chart Parties shall have control of the defense or settlement of any third party Claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and Wedding Seating Chart.
General Provisions
These Terms of Use, and any other document expressly incorporated herein, set out the entire agreement between you and Wedding Seating Chart concerning the use of the Service and they replace all earlier agreements and understandings between you and Wedding Seating Chart.
If any part of these Terms of Use is held to be invalid or unenforceable under any applicable local laws or by an applicable court, that part shall be interpreted in a manner consistent with applicable law to reflect as nearly as possible Wedding Seating Chart original intentions and the remainder of these Terms of Use shall remain valid and enforceable.
Wedding Seating Chart failure to exercise or enforce any of its rights under these Terms of Use does not waive Wedding Seating Chart right to enforce such right. Any waiver of such rights shall only be effective if it is in writing and signed by Wedding Seating Chart.
Effective Date & Changes
These Terms of Use are effective January 24, 2024.
These Terms of Use may be updated from time to time for any reason. I will notify you of any changes to our Terms of Use by posting the new Terms of Use here. You are advised to consult this Terms of Use regularly for any changes, as continued use is deemed approval of all changes.
